ARTICLE 1 - PARTIES TO AGREEMENT

The parties to this agreement are Transdev Services, Inc., hereinafter referred to as the
"Company" and the Amalgamated Transit Union, Local 1772, herein after referred to as
the "Union".

ARTICLE 2 - RECOGNITION

The Company recognizes Amalgamated Transit Union, Local 1772, as the exclusive
representative of "employees" as described and defined in the certification of the Union
by the National Labor Relations Board case #27-RC-8490 and #27-RC-I031S6.

ARTICLE 3 - SUCCESSORS AND ASSIGNS

This agreement shall be binding upon the Union and Transdev Services, Inc., their
successors, heirs and assigns.

ARTICLE 4 - NON-DISCRIMINATION

The Employer and the Union agree to comply fully with all provisions of federal, state,
and local labor and employment law. Any dispute arising under this article may be
processed under the Grievance and Arbitration process. Whenever, in this agreement, the
masculine is used, it shall be deemed to include the feminine gender.

ARTICLE 5 - SEVERABILITY

In the event that any provision of this Agreement shall be found contrary to
any local State or Federal Statute or decision, the Parties shall meet to
discuss changes and its affect on the labor agreement.

ARTICLE 6 - NO STRIKE I NO LOCKOUT

Section 1. The primary purpose of Article 6 rests in the mutual desire of the parties to this
agreement to provide uninterrupted transportation services to the citizens and residents
served by the company.

Section 2. During the life of this Agreement, the Union, on behalf of itself and its officers
and agents and the employees covered by this agreement, agree that they shall neither
authorize, instigate, support, encourage nor engage in any strikes, sympathy strikes, work
stoppages, slowdowns, sickouts or public disparagement against the employer or it's

services or engage in any other concerted activity. The Union agrees to actively prevent
or curtail such activity, including, upon notice from the employer, immediately informing
all employees that the Union disclaims all responsibility or support for such action and
direct such employees to immediately resume or continue normal operations.

Section 3. Any employee who violates Section 2 above may be subject to disciplinary
action.

Section 4. During the life of this Agreement, the Employer shall not lock out any of the
employees covered by this Agreement.

Section 5. No employee in the course of employment shall be required to cross a lawful
picket line of any A TU affiliated local Union.

ARTICLE 7 - UNION SECURITY/MEMBERSHIP DUES/CHECK OFF

The company may employ new employees who are not members of the Union. Union
membership shall begin the first day of established seniority upon completion of a
membership application for new employees and the first full pay period upon completion
of a membership application for all other employees

The individual authorization or directives shall contain authorization for deduction of
requested monthly membership dues, initiation fees, assessment, or the service fee
equivalent. In addition, the individual authorizations will specify when a member will be
eligible for withdrawal from Union membership, which shall be submitted to the Union
who will then forward a copy of the withdrawal form to the employer.

The Company agrees to deduct from the wages of any employee covered by this
Agreement who has voluntarily authorized such a deduction, the regular monthly dues of
the Union and the initiation fee or other authorized assessments levied in a legal manner,
and will forward such funds to either a properly accredited financial institution as
designated by the Union 01' to the Union's Financial Secretary within seven (7) days of
the deduction each month along with a list of each employees name for such deduction.
Said dues shall be deducted from the first and second paycheck of each month. The
Union shall be responsible for collection of the dues for any member who does not
receive a paycheck for any pay period of the month.

The Company agrees to deduct from the wage of any employee covered by this
Agreement who has voluntarily authorized such a deduction, contributions to the ATU
Committee on Political Education (COPE) and will forward such funds to either a
properly accredited financial institution as designated by the Union or to the Union's
Financial Secretary at the same time as the funds are forwarded pursuant to the
Subsection(s) immediately above which deal with the Union Dues andlor other voluntary
deductions taken for the benefit of the Union. The Union will indemnify and save the
Company harmless from any and all liabilities resulting from compliance with any or all
of the provisions immediately above which deal with Union Dues and/or other voluntary
deductions taken for the benefit of the Union.

ARTICLE 8 - SHOP STEWARDS I UNION BUSINESS

Union Shop Stewards

Section 1. Recognition of Stewards. From among the employees employed in the
Bargaining Unit, the Union may designate and the Company will recognize steward(s) to
serve as the Union's agent in the representation of employees of the Bargaining Unit.
The Company shall not be required to recognize any employee as a shop steward unless
the Union has informed the Company, in writing, of the employee's name, as a shop
steward for such department.

      Section 2.        Compensation of Steward While Engages in Union Activity. Except as

specifically provided in this Section.

Steward(s) shall not be compensated by the Company for their duties as the steward(s)
and shall perform such duties during times when they are not scheduled to work tor the
Company. If, at the convenience of the Company. a meeting is convened during hours
when the Steward(s) is scheduled to work, the Company will pay the shop steward(s) at
their rate of pay for scheduled work hours lost in attendance at the meeting.

The Employer agrees to pay lost time to any officer or member upon written request by
the local Union President and such lost time shall be reimbursed by the Union to the
Employer.

Section 3. The Union shall furnish the Employer with a list of its officers and shop
stewards, on a monthly basis, and shall, as soon as possible, notify the Employer in
writing of any changes therein.

Union Visitation.

                   a.         Meetings with the Company.            The Union's Business Agent may

enter upon the Company's premises to attend meetings of the grievance procedure set
forth in this Agreement and such other meetings as may be scheduled between the
Business Agent and the General Manager or his/her designee.

                   b.         Other Access.             Union officers will be granted access to the

Company's premises and agree not to interfere with management of the business nor
disrupt or interfere with an employee's work.

Distribution of Union Literature.

Bulletin Board. The Company agrees to provide space for a bulletin board for
Union use. Postings by the Union on this board are to be confined to official union
notices, formal meeting notices, union elections, names of representatives and officers of
the union and recreational or social events of the union. Postings not on union letterhead
shall be initialed and dated by a Union Official or steward. No information will be
posted of am inappropriate material toward the company or the client.

Section 5. The Union will be provided with one hour of time during which to address
newly hired employees covered by this Agreement on a day and at a time designated by
the Company during the first two weeks of the Company's new employee training period.
The Union warrants that during such time it will not present any information andlor
material to the new-hires which is derogatory of the Company or detrimental to the
Company's relationship with its client or its customers. The purpose of this presentation
is to provide employees with video and audio information regarding the Amalgamated
Transit Union 011 both a local and national level and to provide information on the
specific benefits the Union offers. A company official may be present during such
presentation but will leave the meeting when a question and answer session begins.
Violation of the scope and intent ofthls Section may result ofthe loss of such privilege.

Section 6. Union Business Leave. Three Union officials shall be permitted
reasonable time off per day without pay to attend Union business called by the Local
Union provided such time does not interfere with operational needs. The Company shall
be given a minimum of 24 hours' prior notice by the Local Union. The 24-hour
requirement may be waived as long as it does not interfere with operational needs. In the
event, after approval has been given it is determined that service requirements would
suffer (due to an insufficient number of employees able to perform the service
requirements) and the steward must perform the operational work, the company shall
immediately notify the steward and the Union immediately so alternative arrangements
can be made. If such leave was requested in advance and there were financial
expenditures involved due to travel or conference/training fees, then the steward shall be
permitted the leave.

An employee elected or appointed to office in the Union, which requires full time in the
discharge of his/her duties, shall be given a leave of absence not to exceed such time in
office. The employee shall retain all seniority rights. The employee shall be responsible
for 100% of any benefit costs while on such leave.

ARTICLE 9 - PART TIME EMPLOYEES

Section 1. Benefits provided by this Agreement shall not extend to part time employees.
There should be two seniority lists; one for full time and one for part time.

Section 2. The Employer shall consider for full time employment any available part time
employee having the necessary ability prior to the hire of a new employee. Upon
attaining full time status, he/she shall be placed on the full-time seniority list from the
date of commencement of full time service, but if two or more part timers are scheduled
to begin full time service on the same date, they shall be ranked in the same order as they
were as part time employees. In the event a full-time employee elects to revert to part
time status, he/she shall be returned to the part time list with loss of seniority.

Section 3. The Assignment of part time work shall be done by seniority and availability.

Section 4. Part Time employees will not exceed 20% of the full-time driver workforce.
Part-time employees may not work more than 30 hours per work week.

Section 5. Part Time employees required to work on a holiday shall receive their straight
time rate of pay and an equivalent amount at straight time rate of pay as holiday pay.

ARTICLE 10 - PROBATION PERIOD

The probationary period for all employees shall be ninety (90) days from the date they
complete training. If the probationary period has been interrupted by extended illness or
leave of absence of more than five (5) working days, there shall be an extension made to
fulfill the ninety (90) day requirement.

During the probationary periods the Company may. at its discretion, discipline/discharge
any such employee without recourse through the grievance and arbitration procedure.

ARTICLE 11 - MANAGEMENT RIGHTS

Except to the extent expressly abridged by a specific provision of this agreement. the
Company reserves and retains, solely and exclusively, all of its rights, power or authority
to manage its business, as such existed prior to the execution of this Agreement with the
Union. These rights include, but are not limited to the following: to decide all equipment
to be used; to improve efficiency; to hire, layoff, assign, transfer and promote
employees; to determine the qualifications of employees; to determine the starting and
quitting times; to establish the number of shifts; to determine the number of hours to be
worked, including the determination of the necessity for overtime work; to promulgate
reasonable rules and policies; to establish customer service and public relations policies;
to determine the business hours and location of its establishments; to decide the processes
of operation; to discharge or discipline for cause, except that any employee discharged or
disciplined shall have recourse through the grievance procedure (except probationary
employees), the establishment of run structure including any changes to routes, and the
implementation of policies and procedures that may be required by the client.

It is recognized that the Company's policies, rule book and bulletins are necessary, but
that said recognition is not to be construed as meaning that said policies, rule book and/or
bulletins are part of this Agreement. No policies, rules or bulletins promulgated and
enforced by the Company shall be valid if it violates any provisions of this Agreement.
The Company will provide changes to any policy or rule to the Union at least fourteen
(14) days prior to implementation, the exception being where safety or an emergency
would require otherwise. The Union may request a meeting within seven (7) days of
receipt of said changes.

The parties recognize that the above statement of management rights is for illustrative
purposes only and should not be construed as restrictive or interpreted so as to exclude
those prerogatives not mentioned which are inherent to the management function. The

above management rights and all other matters not covered by the express language of
this agreement shall be administered by the employer on a unilateral basis in accordance
with such policies and procedures as it shall from time to time determine.

ARTICLE 12 - LABOR MANAGEMENT MEETING

The Company and the Union shall have Labor Management meetings when requested by
either party, to be held at a mutually agreed upon time and place. An agenda shall be
presented by the party requesting said meeting seven (7) calendar days prior to the
meeting.

The Company will pay up to two (2) Company employed bargaining unit Union
representatives for attending LMR meetings. The names of the Union representatives to
attend must be submitted by the Union in writing two (2) days prior to the LMR meeting.
Meetings will be limited to a maximum of two (2) hours each. The parties may mutually
agree to extend the meeting, which will also extend the pay for he paid Union
representatives. The Union has the right to have more that two (2) Union representatives,
but the Employer has no obligation to pay for the additional Union representatives
attendance.

ARTICLE 13 - SENIORITY LIST

There shall be posted on January 1 and July 1 each year a revised seniority list, showing
the continued seniority of all employees within the full-time and part-time categories.

Company Seniority for full time Employees: "Company" seniority is the length of
continuous service as a full-time employee with the Employer or its predecessors, from
the date the employee is released from training to operations.

Seniority for Part-time Employees: Part-time employees shall accrue Company and
classification seniority only with respect to other Part-time employees. Part-time seniority
shall not carry over to Full-time.

Loss of Seniority: An employee who is discharged or resigns, or fails to return from a
leave of absence or layoff, shall forfeit all seniority.

The seniority dates for Employees hired prior to the ratification of this agreement shall be
deemed correct. If two or more individuals are hired on the same day, seniority shall be
determined by date and time the Employee application was submitted.

Reduction in workforce: Inverse seniority shall govern layoffs, and seniority shall
govern reemployment. Seniority rights shall be continuous in all respects.

Transfer within Bargaining Unit: When an employee changes status from full-time to
part-time, part-time to full-time, operations to maintenance or maintenance to operations,

seniority shall be retained in his/her previous classification for a period of sixty-one
calendar days of the original change,

Upon request the Company shall provide the Union with a list of step-ups.

ARTICLE 14 - GUARANTEEIEXTRA BOARDIEXTRA WORK

Extra Board Operators shall be guaranteed 40 hours per week provided they perform each
regular shift for each day/week.

Extra Board:

1.    DOT hours prevailing, Extra board assignments will be based on operational
efficiency, availability and seniority.

2. Extra Board assignments include but are not limited to all known open work.

3.     The Company and Union will monitor efficiencies of the Extra Board and, if
necessary, will negotiate modifications in an effort to increase efficiency and
effectiveness.

4.    The Extra Board will consist of AM Extra Board Operators and a PM Board
Operators.

5. The Extra Board is considered a bid line.

6. Employees will select their Extra Board bid line by seniority.

7.    AM Extra Board operators may be assigned as early as : 15 minutes prior to the first
AJ.\1 pull-out.

8. AM Extra Board Operators will not be assigned work past 8:00pm.

9. PM Extra Board Operators may be assigned as early as 12:00 pm.

10. PM Extra Board Operators may be assigned until the last pull-in.

11. Work Assignments will be posted no later than 5 :OOpm one day prior to the day of
the assignment.

12. At the beginning of the run board, placement on the extra board (AM and PM) is
strictly based on seniority.

13.  The most senior operator will be assigned the most amount of daily hours on the first
day of the run board, the next senior operator will be given the second highest
amount of daily hours and this process shall continue until all work for the day is
assigned or there are no Extra board operators available.

14.  Each day thereafter, the bottom extra board operator is rotated to the top of the
assignment list. The list will be posted daily.

Report Bid Lines

1. Report Bid Lines are guaranteed 40 hours per week.

2.     Report Bid Lines will have the scheduled starting time(s) for all work days listed
on the bid line at the time of bid.

Hold-down Bid Lines

1.     The company may at their discretion post all Hold-down Bid Lines for the
employees to bid by seniority.

2.     Hold-down Bid Lines have no scheduled starting time and no scheduled ending
time at the time of the bid.

3.     The Hold-down Bid Line may consist of both AM Hold-down Bid Line Operators
and PM VacationiSick Line Operators

4.     If no work is available for the coming week, the Hold-down Bid Line Operator
will be assigned to the Extra Board and rotated normally.

Open Runs:

1.     The schedule will be completed each day for same day of the following week
(Monday for the following Monday).

2.     The available work will be posted each day and there will be seven (7) days
of available work posted.

3.     Schedulers will compile a list of all open work available each day.

4.     From 9 am to 5 pm on each day, schedulers will make phone calls to cover
open runs for the same day of the following week. After the list is made it will
be posted with what work has been assigned. After posting drivers may sign
up for what work is left over on a first come first serve basis. The operator
will let the scheduler know what piece of work they want. If the scheduler is
unavailable, the operator will let dispatch know what piece of work they
would like. Dispatch will record and give a list to scheduling of what work
was taken the next day.

5.     A list of all employees scheduled on each day will be created, with highest in
seniority listed first.

6.     Phone calls will be made in descending order (highest in seniority first)

7.     Driver will be told what work is available and given the choice to choose
work on their RDO only.

8.     Schedulers will mark the date and time and response (was work taken or not
taken) The process will continue down the list until all operators are called
or all work is taken.

9.     If an operator wants to put in for work before the call time, they can talk to
scheduling and request a piece of work the day before. However, if a higher
seniority driver accepts the work during the call time the scheduler will give
work to the senior operator. If a senior operator does not accept the work it
will be given to the requesting operator.

10.  An employee who does not answer the schedulers will leave a message and
will be skipped. If the employee calls back before the call list is completed
and work is still available, they may take the work before other lower
seniority operators.

11.  Once the work is filled, no bumping by other operators will be permitted.

12.  If work becomes available after the open list has been filled, operators who
have already taken work CANNOT drop that work to pick up what is now
open.

13.  Attendance policy remains in effect for all work that is committed to.

ARTICLE 15 - REPORT PAY

All operators will be paid fifteen (15) minutes prior to their pullout time for preparation
time for each garage pullout of a revenue vehicle. If additional time is required by the
employee, they must have such time approved y the dispatcher.

ARTICLE 16 - nRiVER/IN LINE TRAINER

Operators who are assigned to train other operators shall be paid one dollar ($1.00) per
hour above their regular pay for all hours worked as a trainer or instructor.

ARTICLE 17 - COMMERCIAL DRIVER'S LICENSE/RECORDS

The company will pay the costs associated with the company required background checks
and motor vehicle records for employees.

ARTICLE 18 - SICK LEAVE

The Company provides time off for all eligible full-time employees who are absent
because of personal injury or illness.

The Sick Leave benefit of twenty (20) hours will be loaded every six (6) months,
effective six (6) months after the date of hire.

During the period of leave, an employee may neither accept employment elsewhere nor
may helshe continue to work elsewhere without written authorization by the Company;
acceptance or continuation of employment elsewhere without written authorization shall
be grounds for discharge. Authorization shall not be unreasonably withheld when the
other employment duties and responsibilities are 110t similar to those preventing the
employee from working for the Company

Sick days will be paid on based on actual time missed, and are not credited as hours
worked for the purpose of overtime calculation.

The Supervisor may request a written statement from a doctor verifying any illness or
injury.

Employees will not be paid for unused sick days at the termination of employment.

Unused sick leave will automatically carry over to the following seniority date
anniversary year up to 200 hours of sick leave. After accumulating 200 sick leave hours,
sick leave accumulation will stop until some hours are used. 200 hours is what may be
referred to as the "cap" on sick leave.

In the fourth quarter of the calendar year, employees who have a balance of 40 hours or
more may cash out up to 25% of those sick hours.

As part of an FMLA leave or a work-related injury, employees will be required to use all
sick leave.

Employees are required to use sick leave when missing any time due to calling in sick,
going home sick, etc. If sick leave balance has been exhausted, time missed will be
unpaid. Employees may use sick or vacation time for pre-scheduled doctor's
appointments.

Maintenance: Each calendar year on January 1, all maintenance employees will accrue
1.85 hours of sick time per pay period with a maximum of forty (40) hours per year. New
hires will begin accrual the first full pay period following ninety days from the date of
hire.

ARTICLE 19 - HOLIDAYS

Paid holidays will include New Year's Day, Martin Luther King, Jr. Birthday, Memorial
Day, Independence Day, Labor Day, Thanksgiving Day, and Christmas Day.

Employees with more than five years of service on each January 01 of this agreement
shall be entitled to one Personal Day (8 hours) per calendar year. Employees with more
than one (1) year of service after January 1,2020 shall be entitled to one Personal Day (8
hours) per year. This personal day may not be carried over from one calendar year to
another and may not be cashed out at any time.

Employees required to work on a holiday shall receive their straight time rate of pay plus
eight (8) hours as holiday pay.

Employees must work his/her entire last scheduled assignment the day before the
holiday, his/her entire scheduled work assignment the day of the holiday, and his/ her
entire scheduled work assignment after the holiday in order to be eligible for the holiday
pay, unless the employee is on vacation or on a Company approved day off. Employees
reporting to work late the day before, day after or day of a holiday shall be notified at
sign in that the holiday is being forfeited.

Holiday pay hours are not credited as worked hours for the purpose of overtime
calculation.

When a holiday falls within an eligible employee's vacation, the employee may elect to
extend the vacation period by one day or may retain that vacation day for later use.

ARTICLE 20 - VACATION

Employees will be eligible for annual vacation in accordance with the following
schedule.

The vacation year is defined as the period beginning January 1 st and ending on December
3 pt of each year.

After one (1) year of service - one (1) week per year
After two (2) years of service - two (2) weeks per year

Section 3 - On January 01 of each year, employees will receive credit for vacation hours.
Employees hired during the previous calendar year shall be entitled to a prorated vacation
allowance and vacation pay (based on 40 hours per calendar year) from his/her original
date of employment to December 31 st of the same calendar year.

Vacation allowance/pay for employees who were hired prior to the beginning of the
previous calendar year shall be entitled to the following:

Vacation shall be picked on a calendar year basis and the employee may pick the amount
of vacation he/she will have earned at his/her date of employment during the calendar
year. Vacation shall be picked by seniority. Employees may elect to reserve up to 40
hours of vacation time for single day usage (must provide 72 hours notice), which will be
granted on a first-come, first served basis, based on availability. Vacations will not be
cumulative. An employee who is unable to avail him/herself of the privilege will be paid
the balance of the allowance at the end of the vacation year.

January 01 following the employee's second anniversary - 80 hours
January 01 following the employee's fifth anniversary -120 hours
January 01 following the employee's tenth anniversary -160 hours

Section 4 - A full-time employee who resigns or is discharged with at least one year of
service (the term "discharged" includes the termination of employment based on the
Company's failure to renew its client contract) shall be paid his/her unused/available
vacation time.

Employees will be permitted to cash out up to forty (40) hours of available vacation once
per quarter, and must fill out a request form in order to receive payment.

Section 5- Maintenance vacation time is accrued every pay period. The vacation year is
defined as the period beginning January 18t and ending December 31 st of each year.

The following schedule will be used for the accrual of vacation, which begins the first
full pay period following date of hire.

Employees may use vacation time for single day usage, which will be granted on a first

ARTICLE 21 - 401(k)

The Company agrees to allow participation of eligible employees into the Transdev
sponsored, collectively bargained 401(k) savings plan. The initial entry date shall be the
first day of the quarter following one year of service. The Company shall contribute into
each employee's 401(k) plan, matching funds at a rate of 50% deferred by the participant,
up to a maximum of 5% of Eligible Compensation (2.5% maximum Company
contribution. The 401(k) vesting for Company Contributions will be based on a 5-year
graded vesting schedule - 20% after each year in which an employee works over 1,000
hours in a calendar year (1 Year - 20% Vested /2 Years -40%Vested /3 Years - 60%
Vested/4 Years - 80% Vestedl5 Years- 100% Vested).

ARTICLE 22 - LIFE INSURANCE

The company provides term life insurance at lx an employee's annual salary and
accidental death and dismemberment coverage for eligible employees at no cost to the
employee.

ARTICLE 23 - MEDICAL BENEFITS

For purposes of determining eligibility for health and welfare benefits, all work of thirty
(30) hours or more per week shall be considered full-time.

New full-time employees will be eligible to enroll in the Health and Welfare Benefit
Program (medical, dental, and vision) with coverage effective the first of the month
following 60 days of employment.

The medical/dental/vision insurance premiums shall be shared as follows and may be
adjusted to comply with the PP ACA:

The High Deductible Plans (or its equivalent), may not follow the above referenced cost
sharing. The High Deductible Plan is a Transdev National plan and contributions are set
for this plan the same across all Transdev properties.

The Company, in recognition of the high cost of dependent health and dental insurance
coverage, has established an IRS Section 125 Premium Plan, which allows employee

contributions towards employer sponsored group insurance plans to be deducted from
employees' earnings, pre-tax, thereby reducing an employee's taxable income and
thereby reducing the amount employees pay in federal, state and FICA taxes.

To be eligible for Health and Welfare Benefit coverage the full-time employee must
enroll prior to the effective date of benefits or the employee must wait until the open
enrollment period of each year.

Employees are eligible to participate in an established Flexible Spending Account (FSA)
on a voluntary basis.

ARTICLE 24 - FUNERAL/PERSONAL LEAVE

Funeral Leave

In the event of the death of a member of the employee's immediate family, the employee
will be paid for up to three (3) consecutive workdays tor time lost to attend the funeral.
Employees will be paid their regularly scheduled work pay. The immediate family
includes the employee's spouse, (step) child, (step) mother, (step) father, (step) sister,
(step) brother, mother-in-law and father-in-law, and grandparents of the employee. If out
of state travel is required, the employee will be permitted up to an additional two (2) days
of paid funeral leave, upon request. Documentation may be required.

Personal Leave

The Company acknowledges that there may be circumstances in an employee's life
requiring an extended absence from work. No leave will exceed three (3) months and
will be granted at the Company's discretion. Employees who do not return on their
scheduled return date will be considered to have voluntarily resigned from employment
on the day the leave expired. During the period of leave, an employee may neither accept
employment elsewhere nor may he/she continue to work elsewhere; acceptance or
continuation of employment elsewhere shall be grounds for discharge.

ARTICLE 25 - MILITARY LEAVE

Employees enlisting (does 110t include full active duty) or entering the Armed Forces of
the United States shall be granted all the rights and privileges provided by applicable law.

ARTICLE 26 - JURY DUTY

The company protects its employees' right to serve as ajuror in compliance with federal
and state regulations.

Employees must provide the company with a copy of the jury summons and any other
court issued documentation on jury duty and pay. Compensation will be paid at the

regular base rate for up to fifteen (15) days jury duty service per calendar year. The
employee shall endorse and deliver the jury duty check to the company together with the
attendance slip verifying actual dates of service. The employee will be allowed to retain
mileage and lunch allowances paid by the court.

ARTICLE 27 - FEDERAL FAMILY MEDICAL LEAVE ACT

The employer and the union will comply with the Family and Medical Leave Act. The
employer has the right to require the employee covered under this collective bargaining
agreement to use all available paid time off while on an approved Family & Medical
Leave of absence in any rolling twelve (12) month period.

ARTICLE 28 - OVERTIME

Overtime: All Operators shall receive one and one-half (1 ~) times their straight time
hourly rate for all hours worked in excess offorty (40) hours per week. For the purpose
of this Article, only hours physically worked will be considered time worked for the
purpose of computing overtime.

ARTICLE 29 - RESTROOMS

The Company will ensure that available restrooms be on each bus line, which shall be
available to all shifts. Employees must follow Company policy prior to leaving their
buses unattended for such.

ARTICLE 30 - UNIFORM ALLOWANCE

Operators are required to wear uniforms as directed by the Company. Upon
commencement of revenue service, the Company will provide each Operator with 5
serviceable or new shirts (long or short), 2 polo shirts, 4 serviceable or new pairs of pants
(long or short), I serviceable or new jacket or I serviceable or new sweater, and a tie.
Uniform items damaged or worn out through normal wear and tear will be exchanged for
a serviceable or new item.

Operators who receive a uniform allowance in 2018 are encouraged to purchase polo
shirts in order to have polo shirts to exchange. Receipt of the one hundred fifty dollars
($150.00) uniform voucher will expire effective January 1,2019.

ARTICLE 31 - DISCIPLINE BY THE EMPLOYER

The right to discipline belongs to and remains with the company. No employee shall be
disciplined except for just cause. If discipline is not sustained, the employee record shall
be cleared and the employee shall be made whole.

Charges against any employee shall be called to the employee's attention within ten (10)
days after notice of the alleged offense has been brought to the attention of the
supervisory staff. Saturdays, Sundays, Holidays and excused time off shall not be
included in the time limit.

Types of discipline may include verbal warnings, written warning, probation, suspension
and discharge. Disciplinary hearings shall deal only with the charges against the
employee. In most cases, discipline will be progressive.

Disciplinary action taken against an employee shall be given to the affected employee in
writing with a copy being distributed to the Union office. Excluding safety violations,
when determining the extent of discipline, the Employer may consider the employee's
disciplinary record during the previous twelve (12) months.

All customer complaints will be investigated prior to disciplinary action being
administered.

The Union recognizes the right of the company to establish rules, policies, and
procedures as it may deem necessary, provided that such are not in conflict with the terms
and conditions of this agreement.

It is further provided that a copy of such company rules shall be submitted to the Union.
The Union may protest any rules that it considers to be in conflict with the terms and
provisions of this agreement. If such protest is not made by the Union ten (10) work days
(excludes Saturday, Sunday and Holidays) after a copy of the rules are submitted to the
Union, such rules shall be posted and/or handed to each employee to be governed
thereby. In cases of emergency the company will notify the Union so they may be aware
of the change and in such cases the ten (I 0) day notification requirement will be waived.

Such company rules, policies and procedures are to apply uniformly to all employees
covered by this agreement.

If the Union should protest any rule and if the company does not concur in the
elimination or modification of the protested rule, the Union's protest shall be subject to
the grievance procedure contained in this agreement.

ARTICLE 32 - UNION INVESTIGATION RIGHTS

The Company agrees to furnish the Union, upon written request, copies of all applicable
forms to facilitate the Union's investigation of grievances concerning applications of
articles in the agreement. Union officials may receive copies of relevant materials in an
employee tile, and is to include doctor notes or medical documents if the employee
provides the company with written authorization. A representative of the Union may
enter Employer's property to investigate grievances or observe working conditions
provided that notice is given in advance of such visit to the appropriate supervisor and

provided further that such visit by the representative shall not interfere with the work of
employees.

ARTICLE 33 - GRIEVANCE

The Company and the Union agree to meet and discuss, with each other's representatives,
upon all questions and grievances which may arise between them, and attempt to resolve
the issues prior to filing a grievance. The Company agrees to extend the time frame for
filing that grievance until 5 days following the meeting date, if such an extension is
necessary for the grievance to be timely.

A grievance is defined under the agreement as a dispute raised by an employee or Union
on behalf of the employees in the bargaining unit over the interpretation, application or
conditions of agreement. A written grievance should be at a minimum, contain the date of
the alleged violation, the nature of grievance and contract reference.

The procedure for handling grievances shall be as follows:

Step I

The Union, or the Union on behalf of an employee shall submit the grievance in writing
to the Operations Manager (or designee) within ten (10) days from the date of the
occurrence, or when the grievant or Union should have reasonably known of the
occurrence upon which the grievance is based. The Company will give written response
to the grievance within ten (10) days from the date it is received. A meeting will be held
if requested by either party; and if a meeting is held, the days provided tor response will
start the day after the meeting.

Step II

Failing satisfactory disposition of such grievance m the grievance may be appealed in
writing to the General Manager (or designee) within ten (10) days from the date of denial.
A written decision will be given by the Company within ten (10) days from the date the
appeal was received. A meeting will be held if requested by either party; and if a meeting
is held, the days provided for response will start the day after the meeting.

A grievance processed through Step I and II will not be heard by a supervisor who has
conducted a prior hearing on the case.

Failing satisfactory disposition of such grievance, the Union may, within thirty (30) days
of the Step II decision appeal the grievance to arbitration, as provided for in the
arbitration article of the labor agreement.

The Company and Union shall respond to all grievance meetings in writing via U.S.
certified mail (return receipt requested), hand delivery, or other method mutually agreed
upon. Failure of either to comply with the time limits of this article will serve to declare
the grievance settled in favor of the other party and no further action can be taken. Time
limits set forth in this section may be extended only by mutual written agreement
between representatives of the parties.

All time limits specified herein shall exclude Saturday, Sunday and holidays.

ARTICLE 34 - ARBITRATION

If a grievance is not settled in the grievance procedures such grievance may be submitted
to an Arbitrator by the Union, but not by an individual employee or group of employees,
in the manner set forth in this Article.

If the Union desires to submit such unresolved grievance to arbitration, it shall so notify
the Company as outlined in the grievance process and they will jointly request a list of
five (5) names of persons available to act as arbitrators from the Federal Mediation and
Conciliation Services.

Upon request of either party, the Union and the Company will meet and attempt to
resolve the matter. On failing to mutually agree upon a solution, the Company and the
Union shall alternate in the striking of names, and the parties shall determine who strikes
first. The person whose name remains on the list shall be designated as the Arbitrator and
the FMCS notified.

The power of the Arbitrator is limited to the interpretation and application of the specific
terms and provisions of the Agreement and they shall have no power to add to, subtract
from, alter, supplement, 01' modify in any way of such terms and provisions. The decision
of the Arbitrator shall be final and binding upon the employees, the Union, and the
Company.

The expenses of the Arbitration shall be shared by the parties. Any transcript of the
proceedings may be requested be either party, but the cost of such transcript will be borne
by the party requesting the transcript. If transcript is required by the Arbitrator, the parties
will split the cost

In discharge cases, if the employee is returned to work with any back pay, such back pay
award shall be reduced by any interim earnings made by the employee during the liability
period unless restricted by law.

ARTICLE 35 - FACILITIES AND EQUIPMENT

The company will make every effort to maintain heaters and air conditioning to be
operational as needed.

ARTICLE 36 - ACCIDENT REVIEW

Section 1. All employees are required to report all accidents and incidents immediately
from the scene and must fill out accident reports immediately following accidents.
Employees will fill out the reports 011 Company time.

All employees required to make such a report at any place other than specified above,
shall be paid for the actual time required, including travel time.

Section 2. Accidents will be judged by the Company as to preventability or non-
preventability as soon as practical after the accident occurs. Notification of a
determination of preventability will be furnished to the employee.

If an accident is judged preventable and then reversed by the Review Board, the
employee who has been assessed a penalty shall be reimbursed any wages lost due to

penalty by the Company. In the event of termination, the employee will be reinstated
with full seniority; benefits and lost pay, and their record changed to reflect a non-
preventable.

Section 3. An employee may contest a determination of preventability by contacting the
Union. The Union may thereafter request review of the determination by the Accident
Review Board by providing written notice to the Company within ten (10) calendar days
of the Company's notification to the employee.

Section 4. The Accident Review Board shall consist of three (3) representatives, one (1)
from the Company, one (1) from the Union and one (1) independent third-party
representative who shall be mutually agreed upon by the Union Business Representative
and a Company Representative. The standards of preventability as defined by the
National Safety Council shall used for determining the preventability of the accident.
Such independent third-party representative shall be someone skilled and knowledgeable
in determining preventability of accidents, such as a qualified representative from the
Colorado Highway Patrol or Local Sheriff or Police department. The cost of the third-
party representative shall be equally shared by the Company and the Union.

The Accident Review Board shall meet once a month, if necessary, for the purpose of
reviewing contested determinations of preventability. The decision of the Accident
Review Board and uncontested determinations by the Company shall be binding on the
parties and the Arbitrator in any grievance or arbitration proceeding related to any
discipline or other adverse employment action arising out of the accident.

ARTICLE 37 - BIDDING OF RUNS

Section 1. It is agreed there shall be at least three (3) Division bids annually; one bid will
be held to become effective between the dates of January 01 and January 31, the second
between the dates of May Oland May 31, and the third to be effective between the dates
of September Oland September 30. It is recognized that the above bid times may be
changed or amended as a result of decisions made by the Regional Transportation
District, the Company's client. Union selected representatives will assist in the
administration of all bids if they so choose.

Section 2. A copy of all bid lines shall be posted seven (7) calendar days before
Operators are required to bid along with the seniority list and designated time to bid. All

Operators shall select either a bid line, extra board line, report bid line, or a hold-down
bid line.

Section 3. No bidding shall be conducted on holidays or Sundays. The bidding
procedure shall be as follows:

1. The bidding days and times at the Divisions shall be posted as early as seven (7) days
prior to each bid.

2. Operators shall select the bid line of their choice in accordance with the prevailing
seniority list.

3. Operators are allotted ten (10) minutes to bid.

4. A bid line board shall be posted within an open designated area for Operators to
review commencing on the first day of the bid. As bid lines are selected, the bidded lines
will be posted.

5. On the date and time an Operator is scheduled to bid, they may be present. An
Operator may leave a Bid Proxy Sheet provided by the Company. The Operator will give
the Operations Manager or their designee their selections at or before the designated bid

time if they are unable to be present at the time of the designated bid. All Proxy Sheets
must be signed by the Operator.

6. In the event an Operator is on vacation, leave of absence, FMLA, or other unforeseen
circumstances that prevented access to a Bid Proxy Sheet prior to the bid session, they
will select an open bid line, including extra board bid lines if extra board criteria have
been met, until the next bid.

7. Any Operator failing to select or appear for their bid or leave a Bid Proxy Sheet with
the Operations Manager or designee, may select a bid line at such time as they contact the
Operations Manager or designee to leave a written proxy, but will not be allowed to
bump anyone. Any Operator failing to bid or leave a Bid Proxy Sheet will not be
assigned until they come in to bid or leave a bid proxy.

Section 4. A description of each bid line will be posted with each bid, and will include
the start and end time of the bid line, the route operated, whether or not interlined, and the
days oft: The Company agrees that no four (4) day work week bid line will be less than
thirty-seven (37) hours. Train cards will be made available as soon as possible. It is
known that a holiday occurring during the bid period will be operated on other than a
Sunday schedule, the Company will identify the schedule that will apply. It is understood
that the Company's client may change a holiday schedule after the Bid is conducted and
the Company will give as much notice as possible of such change.

Section 5. When it is necessary to change a bid line schedule between Division Bids by
one (1) hour or more per day, the Company will declare the bid line vacant unless the

Operator elects to continue to operate the bid line. If an error is made in a bid line, or a
bid line is declared vacant, the affected Operator will be allowed to bid any open bid line
that currently exists. or reserves the right to bid any bid line that may become open
during the remainder of the bid period, in a no-bump bid. Such Operator will receive no
less pay than the bid line originally bid

Employees shall receive a pay increase on January 1, 2020, and a second increase
effective the first day of the first full pay period following his/her date of hire in year
2020 by moving to the appropriate years of service rate reflected in the above wage
chart.

There shall be one pay increase per year in 2019, 2021 and 2022 which will take
effect the first full pay period following his/her date of hire.

The top out rate is reduced to 9 years in 2021 and to 8 years in 2022.

The Company reserves the right to increase the Training and Post Training wage rate at
any time during the life of the agreement. No current employee however, by virtue of this
would have their present wage rate by-passed.

ARTICLE 39 - DRUG AND ALCOHOL TESTING

In acknowledgment of the nature of the Company's operations and the very special and
overriding safety considerations. the parties have adopted the Company's formal Drug
and Alcohol Policy. Any future modifications to the current policy shall be forwarded to
the Union and the parties shall follow the procedures covered in Article 33 "new rules"
section. The Union will have the ability to negotiate the effects of any revisions to this
policy.

ARTICLE 40 - CAMERAS

The Driver will review events with a Company representative to identify unsafe driving
techniques and improve them through coaching, retraining and if required by the
Company, classroom instruction.

The Union recognizes the legitimate business purpose of the GPS, video and other
technology equipment on board buses. The Union and the Company understand that this
equipment is not to be used for surveillance and will not be reviewed without legitimate
business purpose.

GPS, video and other technology equipment will be considered only as supporting
evidence along with other relevant facts for an alleged violation of Company rules or
policies, not the sole generating source to administer discipline to employees.

If the video is lost. damaged or unavailable, the company will not rely on the video
evidence for the purpose of disciplinary action. The Union has the right to request that the
video be pulled and held for review.

In addition, it is understood that the Smart Drive/Drive Cam program, is event driven (i.e,
not used for surveillance, random. retaliatory and/or discriminatory manner) and is
intended to provide for counseling and retraining employees. Employees who repeatedly

violate Smart Drive offenses may be subject to progressive discipline if requested
counseling and repeated retraining fail to result in safer driving habits.

ARTICLE 41 - MAINTENANCE EMPLOYEES

All Mechanics/Utility WorkerslParts Clerks to receive a 3% wage increase effective the
first day of the first full pay period following each January l".

On January 1, 2020, all existing Mechanics, Parts Clerks, and Utility Workers will
receive a $1.00 per hour increase, in addition to the 3% annual increase outlined above.
On January 1, 2021 all existing Mechanics, Parts Clerks, and Utility Workers will receive
a $0.75 per hour increase, in addition to the 3% annual increase outlined above. On
January 1, 2022 all existing Mechanics, Parts Clerks, and Utility Workers will receive a
$0.75 per hour increase, in addition to the 3% annual increase outlined above Starting pay
for all maintenance employees will increase by $1.00 per hour on 11112020, a $0.75
increase 11112021, and a $0.75 increase on 111/2022.

All newly hired employees throughout the duration of this contract will be hired at the
starting rate of pay as indicated above.

Overtime

A monthly overtime signup sheet will be posted at the time clock. Upon the need for
overtime, work will be given in seniority order depending upon the class of work
required. A pass up of overtime once signed will move that name to the bottom of the
seniority list for that month.

TooVShoe Allowance

The employer shall provide each mechanic/utility worker with a $200.00 tool allowance
(for Company approved and verified purchases - receipts will be required) each January
1 st. Reimbursement will be processed no later than the first full pay period following
submission of receipt. Effective 111/20 the tool allowance shall increase to $250.00.
Effective January 1 st, 2022 the tool allowance shall increase to $350. The Company will
provide an annual boot allowance of $150 for the issuance of one pair of work
appropriate boots (receipts will be required). Effective 111/2020 the boot allowance will
be raised to $200.

$0.75 per hour for 3rd shift.

 

Tuition Reimbursement

 

The Company policy on tuition reimbursement is contained in the Company Handbook.
The Employer will pay 100% of all cost associated with ASE to assist maintenance
employees seeking to advance to a higher position.

 

Sick Call In

 

Maintenance employees shall call in sick one (1) hour before start of scheduled shift.

 

ARTICLE 42 - TERMS OF AGREEMENT

 

The Agreement shall become effective January 1. 2018. and shall continue in effect until
midnight, December 31, 2022. This Agreement shall
continue thereafter from year to
year, unless written notice
of a desire to terminate or modify the Agreement is given by
either party. the Company or the Union, to the other party not more than 90 days or less
than
60 days prior to the expiration date of the Agreement.
